Procurement Project Completion Agreement

This Agreement ("Agreement") is made between Soxcessful LLC ("Company") and ("Client") regarding the completion of the procurement project described below..

 

1. Project Description

The procurement project, as outlined in the original service agreement and scope of work, has been completed by Soxcessful LLC for Client. This project includes all specified procurement tasks, including [sourcing suppliers, negotiating contracts, managing logistics, and optimizing cost savings], according to the initial project specifications and any approved modifications.

2. Acceptance of Deliverables

Client acknowledges and accepts the deliverables provided by Soxcessful LLC, confirming that:

  • All project elements, including vendor selection, contract negotiation, logistics support, and cost-savings initiatives, have been completed in alignment with the initial project scope.
  • Any additional requests or changes outside the original project scope will require a separate agreement and may incur additional fees.

3. Project Review and Sign-Off

Client has reviewed and approved the final deliverables related to the procurement project, including all contracts, supplier information, and logistics plans. By signing this agreement, Client acknowledges satisfaction with the completed project and confirms that no outstanding items remain under Soxcessful LLC’s responsibility.

4. Final Payment

Client agrees to make the final payment as previously outlined in the original contract. This final payment, due within 5 business days of signing, represents the total amount owed for the completed project. All payments made are non-refundable.

5. Transition to Ongoing or Additional Procurement Services

This Agreement signifies the end of Soxcessful LLC’s obligations under the initial agreement. Any further services, such as ongoing procurement support, contract renewals, or logistics management, will be provided under a new service agreement or monthly retainer if agreed upon.

6. Ownership and Transfer of Project Assets

Upon receipt of the final payment, Soxcessful LLC will transfer ownership of all project-related assets to Client, including [vendor lists, contract documents, cost analyses, and logistics plans] if approved on the initial agreement. Client assumes responsibility for managing these assets and any future procurement activities unless otherwise specified in a separate support agreement.

7. Post-Project Analysis Report (if applicable)

If a post-project analysis report was agreed upon in the initial contract, it will be delivered to Client within 15 to 20 business days following the project’s completion. This report will summarize the outcomes, cost savings achieved, and insights from the procurement project.

8. Limitation of Liability

Soxcessful LLC assumes no responsibility for changes, modifications, or usage of the procurement deliverables after project completion unless specified in a separate agreement. Soxcessful LLC is not liable for any issues or claims resulting from third-party modifications or adaptations of the deliverables post-completion.

9. Confidentiality and Intellectual Property

Both parties agree to maintain confidentiality regarding any proprietary information shared during the project. Soxcessful LLC confirms that all intellectual property rights for any deliverables created specifically for this project will transfer to Client upon receipt of final payment. Soxcessful LLC may retain the right to use certain project elements for portfolio purposes unless otherwise restricted by prior agreement.

10. Acknowledgment and Signature

By signing below, Client agrees to the terms outlined in this Procurement Project Completion Agreement and acknowledges the successful completion of the project.
